1. Acceptance of Terms

These Terms constitute a binding legal agreement between you and ZeroToPi Innovations. Your continued use of the Services following any update to these Terms constitutes acceptance of the revised Terms.

ZeroToPi Innovations provides technology products, software platforms, IoT solutions, AI-driven systems, hardware engineering services, and related digital services (collectively, "Services"). The scope, features, and availability of the Services may change at any time without notice.

We reserve the right to add, modify, suspend, or discontinue any part of the Services at our sole discretion without liability to you.

4. User Accounts and Portals

Certain areas of the Services, including Investor, Partner, and Employee portals, require registration and account credentials. When registering, you agree to:

• Provide accurate, complete, and current information
• Maintain and promptly update your account information
• Keep your credentials confidential and not share them with any third party
• Notify us immediately of any unauthorized access or security breach
• Accept responsibility for all activity that occurs under your account

We reserve the right to suspend or terminate accounts that contain inaccurate information, show signs of unauthorized use, or violate these Terms.

5. Acceptable Use

You agree to use the Services only for lawful purposes and in accordance with these Terms. You may use the Services only as expressly permitted and must not use them in any way that:

Violations may result in immediate termination of access and may be reported to appropriate legal authorities.

7. Intellectual Property

All content, software, code, designs, trademarks, logos, graphics, text, data, and other materials made available through the Services are the exclusive property of ZeroToPi Innovations or its licensors, protected by applicable intellectual property laws.

You are granted a limited, non-exclusive, non-transferable, revocable licence to access and use the Services solely for their intended purpose. This licence does not include the right to:

Any unauthorized use immediately terminates the permissions granted herein.

8. User Content

If you submit, upload, or transmit any content through the Services, you grant ZeroToPi Innovations a worldwide, royalty-free, perpetual, irrevocable licence to use, process, store, display, and analyze such content solely for the purpose of operating and improving the Services.

You represent and warrant that any content you submit does not violate any third-party rights, applicable laws, or these Terms. We reserve the right to remove any content at our sole discretion without notice.

9. Confidentiality

Access to certain portals, dashboards, documents, or communications through the Services may involve confidential business, financial, technical, or proprietary information. You agree to:

• Treat all such information as strictly confidential
• Not disclose, share, or distribute confidential information to any third party
• Use confidential information solely for the purpose for which access was granted

Confidentiality obligations survive termination of your access to the Services.

We do not warrant that the Services will be error-free, secure, or free of viruses or other harmful components. We make no guarantees regarding the accuracy or completeness of any information available through the Services.

12. Limitation of Liability

To the maximum extent permitted by applicable law, ZeroToPi Innovations, its directors, officers, employees, affiliates, agents, contractors, and licensors shall not be liable for any:

• Indirect, incidental, special, consequential, or punitive damages
• Loss of profits, revenue, data, goodwill, or business opportunities

In no event shall our total aggregate liability exceed the amount paid by you, if any, for accessing the Services in the twelve (12) months preceding the claim, or INR 1,000, whichever is lesser.

You agree to defend, indemnify, and hold harmless ZeroToPi Innovations and its affiliates, officers, directors, employees, agents, and licensors from and against any and all claims, liabilities, damages, losses, costs, and expenses (including reasonable legal fees) arising from or related to:

• Your violation of these Terms or any applicable law
• Your infringement of any third-party rights
• Any content you submit, upload, or transmit through the Services
• Any unauthorized access to your account due to your negligence

14. Termination

We reserve the right to suspend, restrict, or terminate your access to the Services at any time and for any reason, including but not limited to violation of these Terms, suspected fraud, legal requirements, or operational decisions, without prior notice and without liability to you.

Upon termination, all licences and rights granted to you under these Terms will immediately cease. Provisions of these Terms that by their nature should survive termination shall continue to apply, including Sections 7, 9, 11, 12, 13, and 17.

15. Modifications to Terms and Services

We reserve the right to modify these Terms, the Services, or any associated policies at any time, at our sole discretion. Changes will be posted on this page with an updated effective date.

Your continued use of the Services after modifications are posted constitutes your acceptance of the updated Terms. If you do not agree to the updated Terms, you must immediately stop using the Services.

16. Data and Privacy

Your use of the Services is also subject to our Privacy Policy, which is incorporated into these Terms by reference. By using the Services, you consent to the collection and use of information as described therein.

We may process, store, and use data generated through the Services for operational, analytical, security, and improvement purposes in accordance with our Privacy Policy and applicable law.

17. Governing Law and Jurisdiction

These Terms shall be governed by and construed in accordance with the laws of India, without regard to its conflict of law provisions.

Any disputes, legal actions, or proceedings arising out of or relating to these Terms, the Services, or your use thereof shall be subject to the exclusive jurisdiction of the competent courts located in Ludhiana, Punjab, India. You irrevocably submit to the exclusive jurisdiction of such courts and waive any objection to venue or inconvenient forum.

18. Dispute Resolution

Before initiating any legal proceedings, you agree to attempt to resolve any dispute informally by contacting us at info@zerotopi.com. We will attempt to resolve the dispute within thirty (30) days of receipt of notice.

If informal resolution fails, disputes shall be resolved through binding arbitration under the Arbitration and Conciliation Act, 1996, before a sole arbitrator appointed by mutual agreement, with proceedings conducted in English in Ludhiana, Punjab, India.

19. Entire Agreement

These Terms, together with the Privacy Policy and any additional policies referenced herein, constitute the entire agreement between you and ZeroToPi Innovations with respect to the Services and supersede all prior agreements, representations, negotiations, and understandings.

If any provision of these Terms is found to be unenforceable or invalid, that provision shall be limited or eliminated to the minimum extent necessary, and the remaining provisions shall remain in full force and effect.

Our failure to enforce any right or provision of these Terms shall not constitute a waiver of such right or provision.
